1. Acceptance of Terms

These Terms and Conditions ("Terms") constitute a legally binding agreement between you ("User," "you," or "your") and GradSkillUp ("Company," "we," "our," or "us") governing your access to and use of our website, web applications, learning platforms, assessment tools, and related services (collectively, the "Platform").

By accessing or using our Platform, registering for an account, or enrolling in any of our programs, you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy. If you do not agree to these Terms, you must not access or use our Platform.

2. Eligibility

To use our Platform and Services, you must:

• Be at least 18 years of age, or have the consent of a parent or legal guardian if you are a minor
• Have the legal capacity to enter into binding agreements
• Not be prohibited from using our Platform under applicable laws
• Provide accurate, complete, and current information during registration and throughout your use of our services

If you are registering on behalf of an organization (employer, educational institution, or enterprise), you represent that you have the authority to bind that organization to these Terms.

GradSkillUp provides an outcome-driven skilling, assessment, and placement enablement platform. Our services include, but are not limited to:

• Aptitude tests, coding assessments, and technical evaluations
• Technical training programs, bootcamps, and skill development courses
• Career guidance, mentorship, and placement assistance
• Recruitment facilitation services for employers and hiring partners
• Enterprise skilling and workforce development solutions
• Institutional partnerships and campus hiring programs

We reserve the right to modify, suspend, or discontinue any part of our Services at any time with reasonable notice.

4. No Placement Guarantee

Employment decisions are made solely by employers based on their own criteria, hiring needs, and evaluation processes. While we strive to connect skilled candidates with suitable opportunities, your success in securing employment depends on multiple factors including your skills, performance, market conditions, employer preferences, and other circumstances beyond our control.

Any representations regarding placement rates, salary expectations, or career outcomes are based on historical data and market trends, and do not constitute a guarantee of similar results for individual users.

5. User Responsibilities

As a user of our Platform, you agree to:

• Provide accurate, truthful, and complete information in your profile, applications, and assessments
• Maintain the confidentiality of your account credentials and not share them with others
• Complete assessments, tests, and assignments independently and honestly without cheating, plagiarism, or unauthorized assistance
• Attend scheduled sessions, complete program requirements, and actively participate in learning activities
• Treat instructors, mentors, peers, employers, and GradSkillUp staff with respect and professionalism
• Not engage in any fraudulent, deceptive, or illegal activities on our Platform
• Not reproduce, distribute, or share copyrighted course materials without authorization
• Not attempt to gain unauthorized access to our systems, data, or other users' accounts

6. Program Fees & Payment Terms

Fees for our programs and services vary based on the specific offering, duration, and delivery format. Applicable fees will be clearly communicated to you before enrollment or purchase.

• All fees are quoted in Indian Rupees (INR) unless otherwise specified
• Payment terms, schedules, and accepted payment methods will be provided at the time of enrollment
• Applicable taxes (including GST) will be added to the fees as required by law
• Refund policies vary by program and are specified in the program-specific terms

Failure to make timely payments may result in suspension of your access to program materials and services.

7. Income-Share & Outcome-Based Arrangements

Certain programs may be offered under income-share agreements (ISA), pay-after-placement models, or other outcome-based arrangements. These arrangements involve payment obligations that are contingent upon or linked to your employment outcomes.

If you choose to participate in such programs:

• You will be required to enter into a separate, legally binding agreement that specifies the detailed terms and conditions of the arrangement
• The separate agreement will govern payment calculations, thresholds, duration, and other specific terms
• In case of any conflict between these Terms and the separate agreement, the terms of the separate agreement shall prevail for matters covered therein

8. Employer & Recruiter Services

For employers, recruiters, and hiring partners using our Platform:

• We provide access to pre-assessed, skill-verified candidate profiles for recruitment purposes
• All hiring decisions, employment terms, and offers are made solely at the employer's discretion
• Employers are responsible for conducting their own due diligence on candidates
• GradSkillUp does not act as an employer, staffing agency, or employment consultant

Employer services may be governed by separate service agreements. In case of conflict, the provisions of the specific service agreement shall take precedence.

9. Intellectual Property Rights

All content, materials, software, trademarks, logos, and intellectual property on our Platform are owned by or licensed to GradSkillUp and are protected by applicable intellectual property laws.

You are granted a limited, non-exclusive, non-transferable license to access and use our Platform and course materials for your personal, non-commercial learning purposes only. You may not:

• Copy, reproduce, distribute, or publicly display our content without written permission
• Modify, create derivative works, reverse engineer, or decompile our software
• Use our trademarks or branding without authorization
• Share, resell, or commercially exploit our course materials

10. Platform Usage Restrictions

You agree not to:

• Use automated tools, bots, or scripts to access or interact with our Platform
• Interfere with or disrupt the integrity or performance of our Platform
• Attempt to circumvent security measures or access controls
• Upload or transmit malware, viruses, or harmful code
• Collect or harvest user data without consent
• Engage in spamming, phishing, or other abusive activities
• Impersonate other users or GradSkillUp representatives
• Use the Platform for any illegal or unauthorized purpose

11. Termination & Suspension

We reserve the right to suspend or terminate your access to our Platform, with or without notice, for any of the following reasons:

• Violation of these Terms or any applicable policies
• Fraudulent, deceptive, or illegal activities
• Cheating, plagiarism, or academic misconduct
• Non-payment of fees or breach of payment obligations
• Conduct that harms other users, employers, or GradSkillUp's reputation
• At our sole discretion, with or without cause

Upon termination, your right to access the Platform and any enrolled programs will cease. We may retain your data as required by law or for legitimate business purposes.

12. Limitation of Liability

To the maximum extent permitted by applicable law:

• GradSkillUp provides the Platform and Services on an "as is" and "as available" basis without warranties of any kind, whether express or implied
• We do not warrant that our Platform will be uninterrupted, error-free, or completely secure
• We are not liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or opportunities
• Our total liability for any claims arising out of or related to these Terms or your use of our Platform shall not exceed the amount paid by you to GradSkillUp in the twelve (12) months preceding the claim

13. Indemnification

You agree to indemnify, defend, and hold harmless GradSkillUp, its directors, officers, employees, agents, and affiliates from and against any claims, liabilities, damages, losses, costs, or expenses (including reasonable legal fees) arising out of or related to:

• Your violation of these Terms
• Your use or misuse of our Platform
• Your violation of any applicable laws or third-party rights
• Any content or information you submit or share through our Platform

14. Force Majeure

GradSkillUp shall not be liable for any failure or delay in performing its obligations under these Terms due to circumstances beyond its reasonable control, including but not limited to natural disasters, pandemics, wars, civil unrest, government actions, power failures, internet or telecommunications outages, or other force majeure events.

15. Third-Party Services

Our Platform may integrate with or contain links to third-party websites, applications, or services. These third-party services are not under our control, and we are not responsible for their content, privacy practices, or terms of use. Your interactions with third-party services are governed by their respective terms and policies.

16. Governing Law & Jurisdiction

These Terms shall be governed by and construed in accordance with the laws of India, without regard to its conflict of law principles.

Any disputes arising out of or relating to these Terms or your use of our Platform shall be subject to the exclusive jurisdiction of the courts located in Bengaluru, Karnataka, India. You consent to the personal jurisdiction of such courts and waive any objection to venue in such courts.

17. Modifications to Terms

We reserve the right to modify these Terms at any time. When we make material changes, we will notify you by posting the updated Terms on our Platform with a revised "Last Updated" date. We may also provide additional notice through email or other communication channels for significant changes.

Your continued use of our Platform after the effective date of any changes constitutes your acceptance of the modified Terms. If you do not agree to the updated Terms, you must stop using our Platform.
